Payment:
Clients are required to make payments within 72 hours of the invoice issue date. A late fee of 12% per week will be applied to any outstanding balances. If payment is not received within three (3) weeks of the invoice date, Otoric reserves the right to suspend all services. Otoric shall retain a lien on all Goods tendered by the Client, as well as any property belonging to the Client that is in Otoric’s possession, custody, or control. This lien secures all charges, advances, and amounts owed to Otoric under this Warehouse Receipt or any prior or subsequent invoices, including but not limited to fees for preparation, processing, storage, handling, shipping, transportation, labor, and any other related costs. Otoric may withhold possession of the Goods until all outstanding amounts are paid in full. If the Client’s payment remains outstanding for 30 days after Otoric’s demand, Otoric may, at its discretion, sell the Goods through public auction, private sale, or any other commercially reasonable means. The proceeds from such a sale will be applied toward the outstanding balance. The Client will remain liable for any remaining deficiency owed to Otoric.
Disposal:
Otoric will handle the disposal of any product at the Client’s request for a fee. Once a disposal request is submitted, ownership of the product transfers to Otoric, and it will be disposed of at Otoric’s discretion.
Processing Time:
Processing times vary due to multiple factors, including circumstances beyond Otoric’s control. During peak seasons—May through July and September through December—processing times may be extended. However, our team is committed to prioritizing efficiency and will make every effort to process orders as quickly as possible to ensure they are ready on time. We also observe several holidays, including New Year’s Day, Memorial Day, Independence Day, Labor Day, Thanksgiving, and Christmas, with potential limited hours or closures on Christmas Eve and New Year’s Eve. Despite this, we will do everything possible to minimize delays and keep your operations running smoothly.
Liability:
Otoric’s duty of care shall be that of a reasonably careful person under similar circumstances, and Otoric shall not be liable for any loss, damage, or injury to goods stored, however caused, unless such loss, damage, or injury resulted from Otoric’s failure to exercise reasonable care. Otoric is not liable for losses, damages, or injuries that could not have been avoided through the exercise of such care. Otoric and the Client agree that Otoric’s duty of care does not extend to providing a sprinkler system at the warehouse complex or any part of it. Under no circumstances shall Otoric be liable for any loss or damage caused by: a) acts of God; public authorities acting with actual or apparent authority; strikes; labor disputes; weather; mechanical or equipment failures; cyberattacks; civil commotions; hazards of war; acts of terrorism; acts or omissions of customs or quarantine officials; carrier actions related to security; the nature of the freight or its defects; inherent vice of the goods; perishable qualities of the merchandise; fires; frost or changes in weather; Pipe flooding; sprinkler leakage; floods; wind; storms; moths; public enemies; or other causes beyond its control; b) fragile items damaged unless packed by Otoric’s employees and unpacked by them upon delivery; c) pilferage or theft unless caused by Otoric’s failure to exercise ordinary care required by law; and d) concealed damage or losses incurred due to concealed damage of the Goods.
Unless specifically agreed to in writing, Otoric will not be responsible for storing Goods in a temperature- or humidity-controlled environment. The Client acknowledges that the Goods will be stored in a non-temperature-/humidity-controlled warehouse. Otoric will not be liable for any loss or damage to Goods resulting from temperature or humidity fluctuations. Additionally, Otoric is not responsible for losses or damages to perishable goods unless otherwise agreed to in writing before the Goods are stored.
In the event of loss or damage to Goods for which Otoric is legally liable, Otoric’s liability shall be limited to the cost of the Goods paid by the Client at the time of purchase. Otoric will not be liable for shipment-level, box-level, or product-level errors as reported by Amazon any 3rd party vendor that client works with, unless such errors result from Otoric’s failure to exercise reasonable care in processing the products. If it is determined that Otoric’s lack of care caused the error, Otoric will reimburse the Client for charges or fines imposed, including removal charges. In the event of loss of Goods for which Otoric is legally liable, Otoric’s liability will be limited to the cost of the Goods paid by the Client at the time of purchase.
IN NO EVENT, WHETHER DUE TO A BREACH OF DUTIES, NEGLIGENCE, LIABILITY WITHOUT FAULT, OR ANY OTHER LEGAL THEORY, SHALL OTORIC BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, STATUTORY, OR PUNITIVE DAMAGES. THIS INCLUDES, BUT IS NOT LIMITED TO, LOSS OF PROFITS OR MARKET VALUE, LOSS OF INCOME, DAMAGES FROM LOSS, ATTORNEY’S FEES, WRONG DELIVERY, PROPERTY DAMAGE, LOSS OF USE OF GOODS, COST OF SUBSTITUTE GOODS, DELAYED DELIVERY, OR FAILURE TO ATTEMPT DELIVERY, EVEN IF OTORIC HAD KNOWLEDGE THAT SUCH DAMAGES OR LOSSES COULD OCCUR.
Liability Insurance:
To ensure the safety and protection of your goods stored at Otoric’s facility, we kindly ask that you arrange for your own liability insurance. This will provide you with additional peace of mind and safeguard your assets.
Damages to Otoric:
The client assumes full financial and legal responsibility for any damages caused by products sent to Otoric.
Damaged Goods:
If a product arrives damaged, Otoric will document the condition of the goods upon receipt and promptly notify the Client. The Client will then have seven (7) business days to provide instructions regarding the next steps, such as returning the product, shipping it back to the Client, storing it, or disposing of it. It is the Client’s responsibility to contact the vendors directly for any returns or replacements. Any labor associated with these processes will incur additional charges, as applicable.
Unprocessable Items:
Items that cannot be shipped to the designated destination or are deemed unacceptable by the recipient—due to factors such as damage upon arrival, incorrect fulfillment by the vendor or manufacturer, absence from a third-party marketplace listing (e.g., Amazon, Walmart), hazmat restrictions, unauthorized sale by the Client, or any other issue—are classified as Unprocessable. The Client is required to resolve these issues within 30 days. During this period, applicable storage fees and labor charges will be incurred. The Client may choose to have these items shipped back to them or to another designated location at their own expense. Any items that remain unaddressed beyond the 30-day timeframe will become the property of Otoric and will be disposed of at Otoric’s discretion.
By sending items to Otoric, the Client acknowledges and agrees to all the terms outlined in our Terms of Service.
